Terms of Service

1. Who we are

This website (the "Site") is operated by HTS LLC ("we", "us", "our"), a limited liability company.

These Terms of Service (the "Terms") set out the rules for using the Site and making purchases. By using the Site or placing an order, you accept these Terms. If you do not agree with them, please do not use the Site.

These Terms should be read together with our Privacy Policy, Cookie Policy, Modern Slavery Statement, and Accessibility Statement, which together form the complete agreement between you and us.


2. Definitions

  • "Customer" or "you" – any person placing an order through the Site.
  • "Consumer" – a Customer who is a natural person making a purchase for personal purposes not related to a business activity (within the meaning of EU Directive 2011/83/EU and the corresponding national consumer protection provisions, including the Polish Civil Code).
  • "Product" – any goods we offer for sale (cosmetics, skincare products, makeup, fragrances, beauty devices, wellness products).
  • "Order" – your offer to purchase one or more Products.
  • "Contract" – a binding contract of sale concluded at the moment we accept your Order in accordance with Section 5.

3. Eligibility to purchase and account

3.1 Age requirement

To place an order, you must be at least 18 years old (or the age of majority under the law of your country, if that threshold is higher).

3.2 Your account

You may browse the Site without an account, but an account is required to place an order. When you create an account, you are responsible for:

  • providing true and up-to-date information;
  • keeping your password confidential;
  • all activity that takes place on your account.

If you suspect that someone has accessed your account without authorization, contact us immediately at hello@ellemania.com.

3.3 Account suspension

We may suspend or close any account that breaches these Terms, is used for fraud, or threatens the security of the Site.


4. Products

4.1 Presentation of goods

We take care to present Products, ingredients, prices, and stock levels correctly. Nevertheless:

  • product photos are for illustration only – packaging and batch details may vary slightly;
  • ingredient lists (INCI) are based on manufacturer information and may be updated without notice;
  • colors displayed on screen may differ slightly from reality due to your monitor's specifications.

4.2 Cosmetics safety

Cosmetics may cause individual skin reactions. You are responsible for checking the full ingredient list before use. If you have sensitive skin or known allergies, perform a patch test first. If an adverse reaction occurs, stop using the product and consult a doctor.

If you wish to report an adverse reaction, contact us at hello@ellemania.com – we record such events and forward them to the manufacturer in accordance with EU Cosmetics Regulation No. 1223/2009.

Products are intended for external use only, unless expressly stated otherwise, and must be used in accordance with the instructions.

4.3 Availability

All Products are subject to availability. If, after you place an order, a product turns out to be out of stock, we will inform you promptly and offer a full refund, store credit, or a replacement.

4.4 Errors in descriptions and prices

We may correct errors in prices or descriptions on the Site. If you place an Order containing an obvious pricing error, we reserve the right to decline the Order (in accordance with Section 5.3). If the error is discovered after the Contract is concluded, the relevant legal provisions on defects in a declaration of intent will apply.


5. Orders and conclusion of the contract

5.1 How to place an order

Add Products to your cart, proceed to checkout, complete your delivery details, choose a payment method, and confirm your purchase. Before submitting the Order, you have the opportunity to review your details and correct any errors.

5.2 When the contract is concluded

Displaying a Product on the Site constitutes an invitation to treat, not a binding offer. Goods in your cart are not reserved. Your Order is an offer to purchase. The Contract is concluded only when we send you an email confirming that the Order is being fulfilled together with shipping information. The automated "we have received your order" message sent immediately after purchase merely confirms receipt of your offer and does not mean the Contract has been concluded.

5.3 Declining an Order

We may decline or cancel an Order before it is fulfilled – for example, due to lack of stock, suspected fraud, a pricing error, or shipping restrictions. If we cancel an Order before dispatch, you will receive a full refund within 14 days.


6. Prices, taxes, and payments

6.1 Prices

Prices are displayed in the currency you select (or the currency detected based on your location) and include applicable VAT or sales tax where so indicated. Prices may change at any time, but this does not affect Orders already accepted.

6.2 Customs and import taxes

For shipments outside the USA and the EU, customs duties and import taxes may be charged on delivery and are payable by you – unless we have expressly offered "Delivered Duty Paid" (DDP) shipping.

For deliveries to the EU with a value below EUR 150, we may collect VAT at checkout under the Import One-Stop Shop (IOSS) procedure. For higher-value shipments, VAT and duties are usually collected by the carrier on delivery.

6.3 Payment methods

We accept the methods shown at checkout, including payment cards (Visa, Mastercard, Amex), Apple Pay, Google Pay, and BLIK.

6.4 Payment processing

Payments are handled by external, certified processors (including Stripe, Inc.). We do not store your full card details. An Order proceeds to the fulfillment stage only after successful payment authorization.

6.5 Anti-fraud verification

We carry out anti-fraud checks to protect against fraud. If a transaction raises reasonable suspicion, we may delay dispatch, request additional verification, or cancel the Order.


7. Shipping and delivery

We ship orders to the countries indicated at checkout. Deliveries within Poland and selected EU countries are carried out via InPost and DPD. International deliveries (outside the EU) are carried out via DPD.

Shipping costs and estimated delivery times are shown before payment. Delivery times are estimates and are not guaranteed.

The risk of loss or damage to the Product passes to you upon delivery. For Consumers in the EU and the UK, this occurs in accordance with mandatory consumer protection provisions. For business customers (B2B), the risk passes to the buyer when the shipment is handed over to the carrier.

If a shipment is returned to us due to an incorrect address, refusal to pay customs duties, or the Consumer's failure to collect it, this is treated as a withdrawal from the contract. In such a case, we will refund the price of the Product and the original delivery cost (up to the amount of the cheapest ordinary method of delivery offered in our store), and you may be charged the direct costs of returning (sending back) the shipment to us.

We recommend inspecting Products on receipt. Please report any visible packaging damage or shortages within 14 days, where possible, to hello@ellemania.com, which will help us with the claims process with the carrier. This notification does not limit your statutory rights under warranty for defects or lack of conformity of the goods with the contract.

8. Returns and right of withdrawal

8.1 14-day right of withdrawal (Consumers in the EU and the UK)

If you are a Consumer in the EU, the UK, Norway, Iceland, or Liechtenstein, you have 14 days from receipt of the Products to withdraw from the Contract without giving any reason, under EU Directive 2011/83/EU and national provisions (including the Polish Consumer Rights Act).

To exercise this right, submit your return to return@ellemania.com before the 14-day period expires – an unequivocal statement of withdrawal from the contract is sufficient.

After submitting your return, you have a further 14 days to send the Products back in accordance with the instructions we provide, via DPD courier. We will refund the price of the Product and the cost of the original delivery (up to the amount of the cheapest ordinary method of delivery offered in our store) within 14 days of receiving the Products or proof that they have been sent back, using the same payment method.

8.2 Exclusions from the right of withdrawal

The right of withdrawal does not apply to:

  • sealed cosmetics, hygiene, or personal-care products that were opened after delivery and which, once opened, cannot be returned for health or hygiene reasons (Article 16(e) of Directive 2011/83/EU). This includes, among others, opened creams, used makeup with applicators, perfumes with a broken seal/film, and sheet masks removed from their bulk packaging;
  • products made to your specification or clearly personalized;
  • digital content supplied electronically, if downloading began with your prior consent.

8.3 Diminished value of the product

You are responsible for any diminished value of the Products resulting from handling them beyond what is necessary to establish their nature, characteristics, and functioning. We have the right to reduce the amount refunded accordingly.

8.4 Voluntary returns (for all customers)

In addition to the statutory right of withdrawal, we accept voluntary returns of unopened, unused Products in their original, undamaged packaging within 30 days of delivery. Return shipping costs are borne by the Customer.


9. Defects and statutory warranty

Nothing in these Terms limits your statutory rights as a Consumer:

  • EU Consumers: rights under EU Directive 2019/771 on the sale of goods (a minimum 2-year seller liability for lack of conformity of the goods with the contract);
  • Polish Consumers: warranty and rights under the Civil Code and the Consumer Rights Act;
  • UK Consumers: rights under the Consumer Rights Act 2015;
  • US Consumers: rights under applicable state and federal consumer protection laws.

If you receive a defective Product, write to hello@ellemania.com within a reasonable time of discovering the defect, attaching photos and your order number. We will investigate and offer a replacement, repair, price reduction, or full refund in accordance with the law.


10. Intellectual property

10.1 Our content

All content on the Site – text, graphics, logos, images, photos, product descriptions, source code, and the ellemania brand – belongs to us or our licensors and is protected by international copyright and intellectual property law.

10.2 Scope of permitted use

You may use the Site solely for personal and non-commercial purposes. It is prohibited to:

  • copy, reproduce, or distribute content without our written consent;
  • use scrapers, bots, or other automated tools to extract data;
  • reverse-engineer the Site;
  • use our trademarks without authorization.

10.3 Third-party trademarks

The brand names and trademarks of the products we sell belong to their legal owners and are used on the Site solely for identification purposes.


11. User content (reviews, comments)

11.1 License to content

By submitting reviews, ratings, or photos ("User Content"), you grant us a worldwide, non-exclusive, royalty-free, perpetual, and transferable license to use, modify, and display them for the purposes of the Site and our marketing research.

11.2 Prohibited content

Your User Content may not be:

  • false, misleading, or defamatory;
  • infringing on the rights of third parties (including copyright);
  • obscene, hateful, or unlawful;
  • spam, hidden advertising, or promotion of competitors.

We reserve the right to remove content that breaches these rules.

11.3 Verified reviews

When a review is marked as a "verified purchase", it means we have confirmed that its author actually purchased the Product through our Site, in accordance with EU Directive 2019/2161 (the Omnibus Directive).


12. What you must not do on the Site

You agree not to use the Site for unlawful purposes, not to interfere with its security and operation, not to impersonate other persons, not to engage in the unlicensed resale of our Products, and not to introduce malicious software (viruses, trojans).


13. Disclaimers

13.1 "As is"

To the fullest extent permitted by law, the Site is provided "as is" and "as available", without any warranties, express or implied.

13.2 This is not medical advice

Product descriptions, ingredient information, and other content are for general information only and do not constitute medical or dermatological advice. For specific health issues or skin conditions, consult a qualified medical specialist.

13.3 Protection of mandatory rights

Nothing in these Terms excludes or limits any liability that cannot be excluded under applicable law, including the statutory rights of Consumers in the EU, the UK, and Poland.


14. Limitation of liability

14.1 Financial cap

To the fullest extent permitted by law, our total liability for any claim arising out of these Terms will not exceed the total amount paid to us for the Products that form the basis of the claim in the 12 months preceding the event. We are not liable for indirect or consequential damages or lost profits of business customers.

14.2 What we do not limit

The above cap does not apply to:

  • death or personal injury caused by our negligence;
  • fraud or fraudulent misrepresentation;
  • liability for a defective product under EU Directive 85/374/EEC;
  • mandatory statutory rights of Consumers.

15. Indemnification

You agree to indemnify and hold harmless HTS LLC, its officers and employees, against all claims and costs (including legal fees) arising from your breach of these Terms, the law, or the rights of third parties. This section does not apply to Consumers where local consumer protection provisions prohibit it.


16. Force majeure

We are not liable for any failure or delay in performing our obligations caused by events beyond our reasonable control (natural disasters, pandemics, wars, acts of terrorism, border closures, global supply chain disruptions, or internet network failures).


17. Governing law and jurisdiction

17.1 Governing law

These Terms are governed by the laws of the State of Delaware, USA, excluding its conflict-of-law rules.

17.2 Consumer protection

Notwithstanding Section 17.1, if you are a Consumer in the EU or the UK, you retain the full protection of the mandatory provisions of the law of your country of residence (in accordance with Article 6 of the Rome I Regulation). No provision of these Terms removes those rights.

17.3 Dispute resolution

  • Business customers (B2B): Exclusive jurisdiction of the state or federal courts in New Castle County, Delaware, USA.
  • Consumers: You may bring proceedings against us before the court of your place of residence or before a court in Delaware, at your choice (in accordance with the Brussels I bis Regulation).

17.4 Online dispute resolution (ODR)

EU Consumers may use the European Commission's online dispute resolution platform: https://ec.europa.eu/consumers/odr. We are not obliged to participate in out-of-court arbitration unless required by the law of your country.

17.5 Class action waiver

For customers who are not Consumers, disputes must be pursued solely on an individual basis and not as part of a class action.


18. Changes to the Terms

We may update these Terms. A new version will appear on the Site with a refreshed "Last updated" date. We will notify registered users of material changes by email or by a clear notice on the Site at least 14 days before they take effect. Orders placed before that date are governed by the version of the Terms in force at the time you clicked "Buy".


19. Miscellaneous

If any part of these Terms is found to be unlawful or unenforceable, it will be severed, and the remaining provisions will remain in force. These Terms, together with the Privacy Policy and other policies on the Site, constitute the entire agreement between you and us.
